By accessing or using Grounda ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

Grounda provides property tax protest services to Texas homeowners, including:

  • Property tax assessment analysis and valuation review
  • Comparable property research and market analysis
  • Preparation and filing of property tax protests
  • Representation before the Appraisal Review Board (ARB)
  • Informal and formal hearing representation
  • Ongoing case management and status updates

2.1 Professional Qualification

Grounda's property tax protest services are provided by qualified professionals in compliance with applicable Texas laws and regulations.

2.2 Important Disclaimers

Not Legal or Tax Advice: While we represent you in property tax protests, we do not provide legal advice, tax planning advice, or professional appraisal services. For complex legal or tax matters, consult with a licensed attorney or CPA.

No Guarantee of Results: Property tax protest outcomes depend on many factors including property characteristics, market conditions, and appraisal district decisions. We cannot guarantee any specific reduction or outcome.

3. Data Sources and Accuracy

Disclaimer: All property data is sourced from publicly available county appraisal district records (including but not limited to HCAD, FBCAD, and other Texas County Appraisal Districts).

While we strive for accuracy, we make no warranties or representations about:

  • The accuracy, completeness, or timeliness of property data
  • Tax calculation estimates or savings projections
  • Neighbor comparison analyses
  • Property value assessments

You are responsible for: Verifying all information with official county records before making any decisions or filing protests.

4. User Accounts and Security

To use certain features, you must create an account. You agree to:

  • Provide accurate and current information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account
  • Not share your account with others

5. Authorization and Power of Attorney

To represent you in property tax protests, you must provide written authorization, which may include:

  • Agent Authorization Form: County-specific forms authorizing us to act on your behalf before the Appraisal Review Board
  • Limited Power of Attorney: Authorization to file protests, attend hearings, negotiate settlements, and receive correspondence

You may revoke authorization at any time by providing written notice. Revocation does not affect actions already taken on your behalf.

6. Fees and Payment

Grounda offers the following fee structures:

  • Contingency Fee: A percentage of your tax savings, payable only if we successfully reduce your property tax assessment
  • Flat Fee: A fixed amount for protest services, regardless of outcome (where offered)

Specific fee amounts and payment terms will be disclosed before you authorize our services. All fees are non-refundable once services have been rendered, except as required by law.

7. Permitted Use

You may use the Service for lawful purposes only. You agree NOT to:

  • Violate any local, state, or federal laws
  • Scrape, crawl, or automatically extract data from the Service
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for commercial purposes without permission
  • Misrepresent your identity or affiliation
  • Upload malicious code, viruses, or harmful content

8. Intellectual Property

The Service, including all content, features, and functionality, is owned by Grounda and is protected by copyright, trademark, and other intellectual property laws. Public county data remains the property of the respective appraisal districts.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Grounda and its affiliates, officers, employees, and agents shall NOT be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Errors or inaccuracies in property data or tax estimates
  • Decisions made based on information from the Service
  • Failure to successfully protest property taxes
  • Service interruptions or technical issues

Maximum Liability: Our total liability shall not exceed the amount you paid for the Service in the last 12 months, or $100, whichever is less.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Third-Party Services

The Service integrates with third-party services including:

  • Google Maps API (address search and mapping)
  • Google OAuth (account authentication)
  • County appraisal district websites (data sourcing)

We are not responsible for the availability, accuracy, or policies of third-party services.

12. Indemnification

You agree to indemnify and hold harmless Grounda from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of the Service or violation of these Terms.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service immediately ceases.

14. Changes to Terms

We may modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service after changes constitutes acceptance of the modified Terms. Material changes will be communicated via email or prominent notice on the Service.

15. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved through:

  1. Good faith negotiation between the parties
  2. Binding arbitration in Harris County, Texas (if negotiation fails)
  3. Litigation in state or federal courts in Harris County, Texas (if arbitration is unavailable)

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
